The client was seeking to demonstrate its commercial and organisational robustness in preparation for a detailed due diligence process.</p>
<p data-start="767" data-end="1157">The objective of the engagement was to consolidate all critical business components of the SMR vendor in order to provide a clear, structured, and resilient narrative when challenged by an external audit. Damona acted as a strategic advisor to the vendor’s leadership team, helping shape the value proposition and validate the underlying economic, technical, and organisational assumptions.</p>

Since its inception, Damona has supported investment funds by offering an objective and sector-informed perspective on nuclear assets.</p>
<p data-start="559" data-end="848">For a French private equity firm with a diversified portfolio, Damona was engaged to conduct a commercial due diligence on a potential acquisition: a distributor specializing in nuclear-grade equipment. The target company was of strategic interest to one of the firm’s portfolio companies.</p>
<p data-start="850" data-end="1402">The scope of the assignment focused on critically reviewing the information memorandum provided by the seller, with particular attention to the commercial projections. To assess the credibility of these forecasts, Damona built a bottom-up demand model for the French nuclear market, drawing on expected procurement from key licensees including EDF, Orano, Framatome, CEA, ANDRA, Naval Group, and Technicatome. This analysis was developed with a high level of granularity, isolating demand in the specific sub-domains relevant to the seller’s offerings.</p>
<p data-start="1404" data-end="1747">Beyond the domestic market, Damona also incorporated demand from export markets and European new build projects, providing a broader strategic view. This allowed us to deliver an adjusted and realistic compound annual growth rate (CAGR) based on actual market dynamics, offering the buyer a reliable benchmark against the seller’s assumptions.</p>
<p data-start="1749" data-end="2189">In parallel, Damona conducted a series of structured interviews with current and former clients of the distributor. These discussions followed a pre-defined questionnaire designed to assess the seller’s market reputation, client satisfaction, and potential areas for improvement. This qualitative input complemented the data-driven analysis and gave the buyer a comprehensive understanding of the target’s positioning in the nuclear sector.</p>
<p data-start="2191" data-end="2465">The due diligence was completed on time and within budget, despite a highly constrained timeline. Damona’s integrated approach—combining rigorous market modeling with stakeholder insights—enabled the client to make an informed investment decision grounded in sector reality.</p>

										<content:encoded><![CDATA[<p><span style="font-weight: 400;">Small Modular Reactor (SMR) companies are increasingly developing the Power-as-a-Service model, which allows customers—such as industrial users or communities—to access clean, reliable nuclear power without having to own or operate the SMR directly. This model, however, places significant financial risk on SMR vendors.</span></p>
<p><span style="font-weight: 400;">Industrial stakeholders are increasingly interested in supporting vendors early in their development phase to share some of this risk and ensure a steady supply of heat or electricity (or sometimes both, depending on the SMR technology). By participating in initial investments, these partners can benefit in various ways—such as prioritised access to energy once the reactor is operational, reserving a specific number of reactors aligned with their future energy needs, or securing supply at fixed or reduced prices, helping mitigate exposure to volatile energy costs for their end customers.</span></p>
<p><span style="font-weight: 400;">These partnerships are mutually beneficial: SMR vendors gain essential capital to advance their projects, while industrials and electricity providers secure future power supply and reduce long-term risk.</span></p>
<p><span style="font-weight: 400;">However, these deals require thorough evaluation. Risks must be mitigated, contracts must be carefully analysed, and the vendor’s technological readiness and delivery capacity must be accurately assessed.</span></p>
<p><span style="font-weight: 400;">To support such decision-making, Damona, in collaboration with its partner Nuclear-21, conducted a commercial, financial, and technical analysis of a European SMR vendor on behalf of a utility company. Agreements of this kind carry significant responsibilities on both sides, and expert guidance is crucial—especially when the partnership involves large, multi-year investments and the long lead times inherent in developing innovative SMR technologies. Basically, to inform parties involved whether the vendor and the company are the right partners. De-risking the future of both parties.</span></p>
<p>In details, Damona executed the following activities:</p>
<ul>
<li>Economical aspects of the fuel facility, including fuel qualification, business plan, critical path for deployment</li>
<li>Financial and organisational resilience of the SMR vendor, need for financing, structure review, business plan review</li>
<li>LCOE calculation, profitability of the reactor, costing exercise and economical maturity assessment through the AACE Classes</li>
<li>Regulatory path to deployment, including a stochastic model to estimate the deployment date based on 10,000 scenarios</li>
<li>Industrial and R&amp;D ecosystems based on the identified partners and expected workload across Europe to identify any bottleneck</li>
</ul>

<li>Transport: Review of all the nuclear transport regulations and applications of the requirement in the case of Am-241</li>
<li>Pricing: Two way approach to pricing: Value based &#8211; through interviews with end users, competition based &#8211; through collecting competitors&#8217; prices</li>
<li>Market sizing: Three markets identified based on the required effort to penetrate those market with a detailed forecast until 2040+</li>
<li>Value chain: Identification of all the stakeholders within the value chain for each use cases, with a detailed presentation of the key stakeholders and main projects. In addition, application of a matrix presenting the most appealing prospects and the level of effort required</li>
<li>High go-to-market: Application of Business Model Canvas and high level strategy for each use case</li>
<li>First steps to industrialisation: Presentation of various frameworks to reach a successful industrialisation</li>
</ul>
<p>To execute this work, in a niche sector, Damona conducted 25+ interviews of various stakeholders across the entire value chain. Those interviews also identified prospects and RFP that will be released a few months after end of the project.</p>

<p><span style="font-weight: 400;">The European Union has established ever more ambitious objectives for its climate goals. The European carbon credit system, the EU Emissions Trading System (EU ETS), was designed as a tool to incentivise industries to reduce their emissions. Carbon capture takes this one step further by removing carbon dioxide from the atmosphere, ideally at a lower cost than the price paid by an enterprise for emitting it—thus enabling industries to continue operating without releasing carbon into the atmosphere.</span></p>
<p><span style="font-weight: 400;">Carbon capture technologies are broadly divided into two main categories:</span></p>
<ul>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Direct Air Capture (DAC)</span></li>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Post-combustion Carbon Capture</span></li>
</ul>
<p><span style="font-weight: 400;">Both processes require electricity and heat, often in large amounts. It would be counterproductive to capture carbon while emitting it—such as when using fossil fuels to power the capture systems. In post-combustion capture, the efficiency of the process is highly dependent on the concentration of CO</span><span style="font-weight: 400;">₂</span><span style="font-weight: 400;"> in the exhaust gases, which varies significantly between industries. Some sectors emit exhaust with high CO</span><span style="font-weight: 400;">₂</span><span style="font-weight: 400;"> concentrations, making capture more efficient, while others do not.</span></p>
<p><span style="font-weight: 400;">This variability presents a real positioning and economic challenge, as the financial viability of combining SMRs with carbon capture and storage (CCS) depends largely on the cost of capturing one tonne of CO</span><span style="font-weight: 400;">₂</span><span style="font-weight: 400;">. The higher the CO</span><span style="font-weight: 400;">₂</span><span style="font-weight: 400;"> concentration, the “easier” and more cost-effective the capture becomes. However, it also raises questions about the scale and capacity of the power supply needed to support the extraction process.</span></p>
<p><span style="font-weight: 400;">Damona analysed the CCS market for an SMR vendor considering proposing the deployment of its technology to supply electricity and industrial heat to CCS systems:</span></p>

Centralised heating is more energy-efficient and easier to maintain than individual household boilers, especially when scaled across urban areas.</span></p>
<p><span style="font-weight: 400;">District heating systems vary significantly across Europe. Some networks are compact and localised, while others span large urban areas. The energy mix used to power these systems also differs by country and even by city, including combinations of biomass, fossil fuels, waste heat, geothermal, and increasingly renewables. These unique attributes shape the feasibility of integrating new heat sources, such as nuclear energy or Small Modular Reactors, into existing systems.</span></p>
<p><span style="font-weight: 400;">This analysis aims to evaluate how Northern and Eastern European countries distribute heat through their district heating networks and to assess the potential for integrating nuclear heat, particularly through SMR technology. Damona’s role in this project was to provide the client with a comprehensive, country-by-country assessment focused on select Nordic and Eastern European nations.</span></p>

										<content:encoded><![CDATA[<p>As part of our M&amp;A activities, Damona has been supporting a wide range of international companies in their inorganic development through the search of suitable targets to acquire.</p>
<p>For a French on-site engineering firm, Damona has been shortlisting SMEs with capabilities in non-destructive testing, in order to allow them to grow in this sector. The approach was three-folds:</p>
<ul>
<li>Definition of a set of criteria from the client;</li>
<li>Production of a long list of potential partners;</li>
<li>Production of a 2-page profile for each potential partner.</li>
</ul>
<p>Once the shortlist of 6 suitable targets was identified, Damona delivered a comprehensive report. Following this, Damona reached out to the selected companies and organised a meeting between the client and each one of the identified companies.</p>
<p>This kind of project has been done multiple times in France, the UK and Spain.</p>
